General Terms and Conditions
Application Field
The following Conditions and Terms apply to all of our deliveries, assistance, suggestions, orders, and order acceptances. General Terms and Conditions apply for the entire business relationship's duration. Consequently, these General Terms and Conditions shall also apply to all future deliveries, assistance, suggestions, requests, and request acceptances, even if we do not explicitly refer once again in the eventuality to these, and these General Terms and Conditions are not accepted separately.
Conclusion of the Agreement
The order by Purchaser is considered a binding agreement suggestion. We are entitled to allow the Purchaser orders within three weeks of their receipt. We will confirm acceptance of the contract offer in writing or by specific shipment of the Purchaser's goods. Purchaser is forced to check all of our confirmations of the agreement's conclusion upon their receipt for their factual truth.
Design and form modifications, variations in color shades, and changes to the supplier's range of delivery are reserved, provided that the Purchaser can reasonably expect to accept these changes or variations when the legitimate interests of both parties to the contract taken into account. Insofar as the supplier or we use symbols or numbers to specify the order or purchased goods, this cannot take as a basis for deriving any rights concerning the specification of the purchased goods or scope of delivery.
The agreement is concluded subject to the proviso that we receive supplies on time and complete. These apply only to cases where we are not responsible for non-delivery, mainly where light-hedging transactions have concluded with the supplier. Purchaser will inform immediately that the goods are not available. If applicable, the service in return will then refund without delay.
Payments
Optodiag is responsible for credit card transactions made through this website. In exceptional cases, when the goods are not purchased via the optodiag.com e-shop platform, customers can pay by Bank Transfer. We will send the bank account details by e-mail with the order confirmation.
Unless agreed in a specific case, our list prices in force at the time of the agreement's conclusion apply. The list prices do not include taxes, packaging, shipping, postage, customs charges, insurance, or other shipment costs. Purchaser shall take additional charges due to a particular form of shipment and packaging requested by Purchaser (e.g., express delivery, express freight, air freight/seaworthy packing, etc.). The result of any discount needs a separate written agreement. Payment and discount terms granted by us begin on the invoice's date. If the Purchaser decreases a discount when paying, the discount shall calculate back equally when credit notes are balanced. If a discount has been accepted, it shall be permitted to deduct the discount only if the Purchaser has earlier fully fulfilled all of his other debts reporting to us.
Suppose we withdraw from the agreement due to a faulty breach of responsibility on the Purchaser part. In that case, we shall be allowed to charge 10% of the agreement value as paid losses immediately without providing any further proof. Still, the paid losses will be balanced as a minor loss against any further financial requirements. In such matters, we shall be at the right to prove a higher level of loss in the same way that the Purchaser has the right to show that either no loss has been acquired or the level of such loss is significantly lower.
Delivery
Shipments are moved from ex-warehouse. At the offer and risk of the Purchaser, the assets are sent to an alternative location. Unless otherwise agreed, the Purchaser shall call us in the event of a deal by dispatch to specify shipment method (in particular the carrier company, dispatch route, packaging) at our reasonable discretion.
The regular delivery times are always approximate. Therefore, the shipment times, deadlines, and periods stated by us are not binding unless alternative methods have been explicitly agreed upon in writing. Deadlines are regular workdays; Saturdays are not supposed to be workdays.
Package
Suppose the dispatch of the goods is agreed with the Purchaser. In that case, the risk of unexpected loss or unexpected decay of the goods shall pass upon shipment of the goods (with the beginning of the packing process being forceful) to the Purchaser, forwarding operator, or carrier, but at the latest to the Purchaser upon leaving the factory or warehouse. The dispatch, route, and packaging method shall be at our option if there are no particular written instructions from the Purchaser. Only at the request, in the name of Purchaser's account, do we take out insurance against theft, damage, transportation, fire and water damage, or other insurable risks.
Transport and other packaging classes are not taken back by us - unless otherwise agreed - except for returnable advanced packaging and pallets. The Purchaser is liable for the disposal of the packaging.
Warranty
The seller is liable for warranty responsibilities to the Purchaser. All articles have a one-year warranty. In case you remark that something is not acting correctly, instead of attempting to adjust it yourself, inform us about the issue and let us solve it as soon as possible.
The Purchaser shall rigorously examine the goods fulfilled by us directly after delivery to the Purchaser or a third party named by him. The goods outfitted by us shall be considered to have been approved if we are not in receipt of a written notice of injuries concerning apparent or other injuries which were identified using an immediate check within seven working days after shipment of the goods or within seven working days after the discovery of the injury, otherwise, any earlier date on which the injury was identifiable by the Purchaser as regular use of the product without any closer inquiry. The refused goods shall be returned to us to be examined at our application. Suppose the notice of defects turns out to be false. In that matter, the Purchaser shall be required to refund the expense incurred for the inspection unless the Purchaser is not liable for the false notice of defects. We will reimburse the least expensive dispatch route costs in the matter of a substantiated notice of injuries. The latter shall not appeal if the costs increase because the goods are in a location other than the assigned use location, which results in irregular costs for us.
A shipment of used goods allowed in a particular case with the Purchaser is affected to the refusal of any warranty. The Purchaser cannot charge warranty requests.
If claims are declared against the Purchaser by a customer or connected with an entrepreneur's appeal due to a fault in the goods, the Purchaser shall notify us of this without pause. Appeal against us shall only be possible to the extent that the Purchaser has a right to declare warranty claims for injuries against us in point of these General Terms and Conditions. If claims are declared against the Purchaser by his customer based on terms that deviate from the defect above warranty terms or takes back an item out of goodwill, these agreements shall only apply between the Purchaser and his customer; appeal against us is not possible in this respect.

• Defects, failures, damages, or performance limitations
• Usage in a way other than its original purpose
• Failure or errors due to accident
• Changes or Modifications to any part of products.
Return Policy
The Purchaser is authorized to return defect-free and sanitary goods to us in their original unopened packaging at his own cost if we agree that these have been purchased from us. We shall not have to explain why we refuse to agree to take back the goods. Returns with a net value of less than USD 25 and special orders are not taken back as a matter of principle. We provide 14 days return possibility from receiving the item. If you have any questions, please send us an email via “support@optodiag.com” and tell us to know the reason for your dissatisfaction. We take responsibility to replace or refund fully if any of the accepted order lacks or that it doesn’t fit our description in the website.
The total purchase price (except for shipping) is refunded if the following conditions:
• The item is returned in the related form,
• The product has not been put in actual use,
• Items that are sealed cannot be returned if the seal is broken or the software activated.
Export Control
If licenses are required to export our products, the Purchaser shall obtain these at his own expense and on responsibility. We are not responsible for the non-issuance of a needed export license. Insofar as rights are asserted against us by third parties in the case of an infringement of export regulations, the Purchaser shall indemnify us concerning these costs, as well as for the costs acquired in connection with the security of our rights.
